If we are not able to complete your requested Service within a reasonable timeline for the procured Service, or if you choose to cancel an unfulfilled Service within 7 days of purchase, we will make a full refund back to you less any statutory fees, taxes, and third-party charges already advanced.

IMPORTANT:

Please note that only StartupHQ service fees are refundable. All government fees, statutory charges, partner fees, and third-party charges involved in providing you with the chosen Services are non-refundable to the extent they have already been paid on your behalf.

1. GENERAL REFUND POLICY

StartupHQ will issue a full refund of its service fees, less any state, government, or other third-party fees already advanced, for cancellations that occur within 7 days of purchase, provided that the conditions set out in this Refund Policy are met.

2. WHEN DOES THE REFUND POLICY APPLY?

We can only refund our service fees for issues we are directly responsible for or have control over. If you purchased a Service and later change your mind without a valid reason as outlined in this policy, we cannot issue a refund.

Refunds are applicable in the following cases:

2.1 Company Registration and Incorporation Services

Before Filing:

A full refund of StartupHQ service fees is possible if StartupHQ has not already advanced the fees and expenses to its partners, agents, or legal counsel in the respective country, and the filing has not yet been submitted to the applicable government agency or corporate affairs commission.

After Filing:

Once filing documents have been submitted to government agencies on your behalf, only StartupHQ service fees may be refunded, subject to the conditions outlined in this policy. All government filing fees, statutory charges, and partner fees are non-refundable.

Important Note: In line with our policy of providing excellent and time-efficient service to our clients, funds are usually advanced for the performance of Services within 1-3 business days of payment confirmation. Therefore, refund requests should be made as soon as possible after purchase.

2.2 Tax Registration Services

Full refunds of StartupHQ service fees are available if the tax registration application has not been submitted to the relevant tax authority (such as FIRS, State Internal Revenue Service, or other tax agencies) and no fees have been advanced to third-party partners or government agencies.

2.3 Intellectual Property Registration Services

Full refunds of StartupHQ service fees are available if the trademark, patent, or other IP registration application has not been filed with the relevant IP office (such as the Trademarks, Patents and Designs Registry or equivalent bodies in other jurisdictions) and no fees have been advanced to partners or government agencies.

2.4 Business Account Opening Services

Full refunds of StartupHQ service fees are available if your business account opening application has not been submitted to the banking partner and no third-party fees have been incurred. Once the application has been submitted to the bank or financial institution, only StartupHQ service fees may be refunded, and any bank processing fees or third-party charges are non-refundable.

2.5 Compliance and Consulting Services

For ongoing compliance services, annual filings, or consulting packages, refunds are available on a pro-rata basis for unused portions of the service, provided that no work has been commenced or deliverables provided for the unused period.

2.6 Creator Services

Refunds for creator services (business registration for content creators, influencers, and creative professionals) follow the same guidelines as outlined in Section 2.1 above.

3. WHAT CANNOT BE REFUNDED?

The following fees and charges are NON-REFUNDABLE under any circumstances:

3.1 Government and Statutory Fees:

Once we pay government agencies, corporate affairs commissions, tax authorities, IP registries, or any regulatory body to file and submit paperwork on your behalf, we cannot refund any filing fees, registration fees, or statutory charges.

3.2 Partner and Vendor Fees:

Fees paid to our partners, legal counsels, registered agents, or other service providers for work already performed or expenses already incurred are non-refundable.

3.3 Third-Party Service Fees:

If you purchase a product or service through us that is provided by a third party (such as Registered Office Address, Virtual Business Address, Nominee Director Service, Company Secretary Service, Legal Counsel Representation, or other ancillary services), we cannot refund fees paid to these third-party providers once services have commenced or been rendered.

3.4 Completed Services:

Any service that has been fully completed and delivered to you is non-refundable. This includes but is not limited to: completed company registrations, issued tax identification numbers, registered trademarks, opened bank accounts, delivered compliance reports, and completed consultations.

3.5 Processing and Transaction Fees:

Payment processing fees, bank charges, currency conversion fees, and other transaction costs incurred in collecting payment are non-refundable.

3.6 Services Beyond the Refund Period:

Any cancellation request made after the 7-day refund period is not eligible for a refund, except in cases where StartupHQ has failed to deliver the Service within the agreed timeline due to reasons within our control.

4. REFUND REQUEST PROCESS

4.1 How to Request a Refund:

Your refund request must include: • Your full name and account details; • Order number or transaction reference; • Date of purchase; • Service(s) purchased; • Detailed reason for the refund request.

4.2 Refund Processing Timeline:

We will acknowledge receipt of your refund request within 2 business days; • We will review your request and determine eligibility within 5-7 business days; • If approved, refunds will be processed within 10-14 business days from the date of approval; • Refunds will be issued to the original payment method used for the purchase, unless otherwise agreed upon in writing.

4.3 Refund Amount Calculation:

The refund amount will be calculated as follows: Total Amount Paid minus Government Fees minus Third-Party Fees minus Partner Fees minus Processing Fees = Refundable Amount (StartupHQ Service Fees only).

5. EXCEPTIONS AND SPECIAL CIRCUMSTANCES

5.1 Service Delays Beyond Our Control:

If a Service is delayed due to circumstances beyond our control (such as government agency delays, force majeure events, public holidays, regulatory changes, system downtimes at government agencies, or actions/inactions by third-party partners), this does not automatically qualify you for a refund. However, we will work diligently to complete the Service and keep you informed of progress.

5.2 Incorrect or Incomplete:

Information Provided If delays or issues arise due to incorrect, incomplete, or fraudulent information provided by you, this does not qualify for a refund. You are responsible for ensuring all information submitted is accurate, complete, and truthful.

5.3 Rejection by Government or Regulatory Bodies:

If your application is rejected by a government agency, regulatory body, or other authority due to reasons not attributable to StartupHQ (such as ineligibility, non-compliance with regulations, or submission of improper documentation), we cannot refund government fees or partner fees already paid. However, we may offer to assist with resubmission at an additional cost, if applicable.

5.4 Service Upgrades and Downgrades:

If you choose to upgrade or downgrade your service package after purchase, refunds will be calculated on a pro-rata basis for any unused portion of the original service, less any non-refundable fees as outlined in Section 3.

6. CHARGEBACKS AND PAYMENT DISPUTES

If you initiate a chargeback or payment dispute with your bank or payment provider without first contacting us to resolve the issue, we reserve the right to suspend or terminate your account and any ongoing services. Chargebacks may result in additional fees and could affect your ability to use our services in the future. 7. MODIFICATIONS

TO THIS REFUND POLICY StartupHQ reserves the right to modify or update this Refund Policy at any time. Any changes will be posted on our website at www.startuphqconsult.com and will be effective immediately upon posting. Your continued use of our Services after any such changes constitutes your acceptance of the new Refund Policy.
